These Terms of Service ("Terms") govern your company's access to and use of the DORA Dispatch Automation platform ("DORA", "the Service") operated by DORA Technologies LLC ("we", "us", "our"). By accessing or using the Service, your company ("Client", "you") agrees to be bound by these Terms.
1. Description of Service
DORA is an automated dispatch assistance platform for airline crew ground transportation companies. The Service includes:
- Automated monitoring of trips in your dispatch system, with alerts to the staff you designate.
- SMS notifications to your drivers, and to crew members who request them during a call.
- An artificial-intelligence voice assistant that answers your dispatch line. Calls are recorded and transcribed.
- Automated reading of operational email delivered to a mailbox you connect, to extract trip and crew details.
- Calculation of driver arrival estimates using near-real-time vehicle GPS location.
- Integrations with external systems you configure, including DART, ACES, Geotab and Google Drive.
SMS / Text Message Notifications
DORA Technologies LLC ("DORA") operates an automated dispatch line for airline crew ground transportation. This section describes DORA's text-messaging (SMS) program.
- Consent (opt-in). Crew members reach DORA's dispatch line by phone. During the call, DORA's automated system asks whether the caller would like their trip details sent by text. Text messages are sent only after the caller verbally agrees on that call. Consent is per-call and transactional. DORA does not send marketing or promotional texts.
- Types of messages. Transactional operational notifications only — e.g., trip details, driver name and vehicle, pickup time and location, driver ETA and arrival, "driver is at the curb," and schedule changes or cancellations.
- Message frequency. Varies based on trip activity; typically a small number of messages per trip.
- Cost. Message and data rates may apply, depending on your mobile carrier and plan.
- Opt-out. Reply STOP to any message to stop receiving texts. You will receive one confirmation message and no further texts.
- Help. Reply HELP for assistance, or contact us at robert@allianceaircrewalb.com.
- Carriers. Mobile carriers are not liable for delayed or undelivered messages.
- Privacy. Your mobile number and opt-in are used solely to deliver these dispatch notifications and are never shared with third parties or sold for marketing. See our Privacy Policy.
2. Account Access
Access to the DORA portal is restricted to authorized company accounts. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate these Terms.
3. Acceptable Use
You agree to use DORA only for lawful dispatch and transportation coordination purposes. You agree not to:
- Use the Service to transmit unlawful, harassing, or fraudulent content.
- Attempt to access accounts or data belonging to other companies.
- Reverse-engineer, decompile, or extract the source code of the DORA platform.
- Use the Service in any way that could damage, disable, or impair our infrastructure.
- Introduce malicious code, bots (outside of those provided by DORA), or automated scraping tools.
Client Responsibilities
DORA acts on the data and settings held in your account. You are responsible for:
- Accuracy of your data — drivers, vehicles, contacts, pickup locations, alert recipients and timing settings. Incorrect or incomplete data will produce incorrect automated behavior.
- Notice to your personnel — informing your drivers, dispatchers, managers and other staff that calls handled through DORA are recorded and transcribed, that their mobile numbers are used to deliver operational notifications, and that vehicle location is tracked while in service — and obtaining any consent required in the jurisdictions where you operate.
- Lawful basis for location tracking — ensuring your use of vehicle GPS tracking complies with applicable law and with any agreements you have with your drivers.
- Credentials you provide — DART, ACES, Geotab, email and other credentials you enter are used solely to operate the Service on your behalf and at your direction. You confirm you are authorized to provide them and that this use does not breach your agreements with those providers.
- Review of automated actions — as described in the AI and Automated Decisions section.
- Access control — keeping login credentials secure and promptly removing users who leave your company.
Call Recording and Consent
Calls placed to your DORA dispatch line are recorded and transcribed. DORA plays a spoken notice at the start of each inbound call stating that the call may be recorded. Where a caller is transferred or escalated to a member of your staff, that connected segment is also recorded.
Recording laws vary by state, and some require the consent of every party to a call. You are responsible for determining which requirements apply to your operations, for notifying your own personnel, and for obtaining any consent those laws require. Recordings are retained for 90 days and transcripts for the life of your account, as described in the Privacy Policy.
4. Data Ownership
All data you input into DORA — including driver information, vehicle data, dispatch records, and call transcripts — remains your property. We do not claim ownership of your data. You grant us a limited, non-exclusive license to process and store your data solely for the purpose of delivering the Service. Upon termination, your data will be deleted or returned to you within 30 days upon request.
5. Confidentiality
We treat all client data — including business operations, driver information, trip data, call transcripts, and credentials — as strictly confidential. We will not disclose your confidential information to third parties except as described in our Privacy Policy or as required by law. This obligation survives termination of your use of the Service.
We will never sell, rent, trade, or share your confidential or personal information for commercial purposes, advertising, or any purpose outside of delivering the DORA service to your company.
6. Service Availability
We strive for high availability but do not guarantee uninterrupted, error-free operation. The Service is provided on a commercially reasonable best-effort basis. Scheduled maintenance, third-party outages (e.g., Twilio, Google), or circumstances beyond our control may cause temporary unavailability. We will communicate planned downtime in advance where possible.
7. AI and Automated Decisions
DORA uses artificial intelligence to answer and conduct voice calls, transcribe those calls, extract trip information from dispatch email, and generate automated responses and alerts. To do this, call audio, call transcripts and the contents of operational email are transmitted to third-party AI providers (currently OpenAI) for processing. See the Privacy Policy for details.
AI systems can make errors, including misrecognizing speech, misreading a document, or extracting incorrect trip details. You remain responsible for reviewing and verifying automated actions that affect your operations. DORA is a dispatch assistance tool and is not a replacement for human judgment in critical decisions. You should not rely on the Service as the sole safeguard against a missed or late trip.
8. Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
To the maximum extent permitted by applicable law, DORA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to missed trips, dispatch errors, driver communication failures, or data loss. Our total liability to you for any claim arising from the Service shall not exceed the fees paid by your company in the three months preceding the claim.
9. Third-Party Services
Delivering the Service requires third-party providers. These currently include Amazon Web Services (hosting and database), Twilio (voice and SMS), OpenAI (AI processing) and Google (Drive storage), together with the dispatch and telematics systems you configure, such as DART, ACES and Geotab.
We are not responsible for the availability, accuracy or conduct of these third-party platforms. Your use of services you connect is governed by their respective terms and policies. We may change providers where necessary to operate or improve the Service, and will keep the Privacy Policy current when we do.
10. Termination
Either party may terminate the service relationship upon written notice. We may suspend or terminate access immediately if you breach these Terms or fail to pay applicable fees. Upon termination, your access will be revoked and your data handled per Section 4.
11. Changes to These Terms
We may update these Terms from time to time. We will notify active clients of material changes by posting a notice in the portal at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New Jersey.
13. Fees and Payment
Fees for the Service are [DESCRIBE: e.g. a monthly subscription of $X per operating city, or $X per trip processed], as set out in the order form or service agreement between us. Unless that agreement says otherwise:
- Fees are invoiced [monthly in advance / monthly in arrears] and are due within [30] days of the invoice date.
- Fees are exclusive of any applicable sales, use or telecommunications taxes, which are your responsibility.
- Pass-through usage charges (for example telephony and messaging costs) are billed [at cost / at cost plus X%] and itemised on your invoice.
- We may change fees on at least 30 days’ written notice, effective at the start of your next billing period.
- Undisputed amounts more than [15] days overdue may result in suspension of the Service after written notice. You remain responsible for fees accrued before suspension.
- Fees already paid are non-refundable except where required by law or expressly stated in your service agreement.
14. Indemnification
By you. You will defend, indemnify and hold harmless DORA Technologies LLC and its officers, members and personnel from any third-party claim, and any resulting loss, liability, damage, fine or reasonable legal cost, arising from: (a) data you supply to or generate through the Service; (b) your use of the Service in breach of these Terms or of applicable law; (c) your failure to give the notices or obtain the consents described in the Client Responsibilities and Call Recording and Consent sections, including any claim brought by your employees, drivers, contractors or their passengers relating to call recording, text messaging or vehicle location tracking; (d) credentials you provide for third-party systems, including any claim that their use breached your agreement with that provider; and (e) your dispatch decisions and transportation operations.
By us. We will defend, indemnify and hold harmless your company from any third-party claim that the DORA platform itself, as provided by us and used in accordance with these Terms, infringes that third party’s United States patent, copyright or trade secret rights, together with any resulting loss, liability, damage or reasonable legal cost. This does not apply to claims arising from your data, your configuration, your connected third-party systems, or use of the Service in breach of these Terms.
The party seeking indemnity must promptly notify the other in writing, allow the indemnifying party to control the defence and settlement, and provide reasonable cooperation at the indemnifying party’s expense. No settlement that imposes a non-monetary obligation on the indemnified party may be made without its consent.
15. Service Levels and Support
The Service is provided on a commercially reasonable best-effort basis. We do not offer a guaranteed uptime commitment or service credits, and no uptime figure stated in marketing or conversation forms part of these Terms.
We will use commercially reasonable efforts to:
- Acknowledge a report that the Service is wholly unavailable, or that dispatch alerts are not being delivered, within [4] hours, and work continuously toward restoration.
- Acknowledge other support requests within [1] business day.
- Give advance notice of planned maintenance expected to interrupt the Service.
- Monitor the Service automatically and investigate detected failures without waiting for a report.
The Service depends on third parties — including your dispatch system, telephony and messaging carriers, AI providers and cloud infrastructure. Interruptions caused by those providers, or by your own systems, credentials or network, are outside our control and are not a breach of these Terms. You should maintain a manual dispatch fallback so that a service interruption does not leave trips unattended.
16. Dispute Resolution
If a dispute arises, the parties will first attempt to resolve it informally: the party raising the dispute will give written notice describing it, and senior representatives of both parties will confer in good faith within 30 days of that notice.
If the dispute is not resolved within 60 days of the notice, it will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator, seated in [COUNTY TO CONFIRM] County, New Jersey. Judgment on the award may be entered in any court of competent jurisdiction. Each party bears its own legal costs and an equal share of the arbitrator’s fees unless the arbitrator determines otherwise.
Either party may seek injunctive or other equitable relief in the courts identified in the Governing Law section to protect its confidential information or intellectual property, without first completing the steps above. Either party may also bring a claim in small claims court where it qualifies. Claims will be brought only in an individual capacity, and not as part of any class or representative proceeding.
Note for review: arbitration is one option. The alternative is to delete this section and rely on the New Jersey courts named in the Governing Law section. Counsel should confirm which is preferable.
17. Force Majeure
Neither party is liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including acts of God, severe weather, fire, flood, war, terrorism, civil unrest, labour disputes, epidemic, governmental action, failure of the public internet or telecommunications networks, or the failure of a third-party service provider. This does not excuse any obligation to pay amounts already due. If such a circumstance continues for more than 30 consecutive days, either party may terminate on written notice.
18. Assignment
You may not assign or transfer these Terms, in whole or in part, without our prior written consent, except to a successor in connection with a merger, acquisition, or sale of substantially all of your assets, provided the successor agrees in writing to be bound by these Terms.
We may assign these Terms, in whole or in part, to an affiliate or to a successor in connection with a reorganisation, financing, merger, acquisition, or sale of substantially all of the assets or intellectual property relating to the Service, on notice to you. These Terms bind and benefit the parties and their permitted successors and assigns.
19. Notices
Notices to us must be in writing and sent to the email address in the Contact section, and are effective when we acknowledge receipt or three business days after sending, whichever is earlier. Notices to you may be sent to the email address on your account or posted within the portal, and are effective when sent or posted. It is your responsibility to keep the contact details on your account current.
20. General
- Entire agreement. These Terms, together with the Privacy Policy and any signed service agreement or order form, are the entire agreement between the parties on this subject and supersede all prior discussions. Where a signed service agreement conflicts with these Terms, that agreement controls.
- Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder stays in force.
- No waiver. A failure to enforce a provision is not a waiver of it or of any other provision.
- Independent contractors. The parties are independent contractors. Nothing here creates a partnership, joint venture, agency or employment relationship.
- No third-party beneficiaries. These Terms are for the benefit of the parties only.
- Survival. The sections on Data Ownership, Confidentiality, Fees and Payment (for amounts accrued), AI and Automated Decisions, Limitation of Liability, Indemnification, Dispute Resolution, Governing Law and this General section survive termination.
